Position Description:

The Corporate Counsel is a member of the Risk Management and Legal team reporting to the Chief Risk & Legal Officer (CRLO). The Corporate Counsel assists the CRLO and the General Counsel (GC), and coordinates with the Senior Corporate Risk and Contract Manager (SCRCM), in addressing risk and legal issues at the corporate, subsidiary and project levels as well as assisting with the management and advising of the BOND Companies (collectively referred to herein as "the Company") on all risk management and legal matters, significant project-based claims and disputes, and corporate governance matters. This role requires a deep understanding of the construction industry and the ability to handle complex legal issues. The Corporate Counsel also works closely with business and operations leaders to balance risk identification and management issues with the needs of the business to deliver excellence to clients and to drive continued growth of the Company.

Core Responsibilities:



  • Substantial participation in and management of the Company's prime contract and subcontracting review processes and procedures and collaboration with project teams to negotiate and finalize related agreements
  • Working with CRLO and GC, continuously to identify, update, and develop strategies to mitigate enterprise risks, Subsidiary based risks, project related risks and other risks as the business evolves and expands
  • Assist the CRLO and GC in advising the Company's Senior Leadership on compliance and regulatory issues
  • Assist with oversight and management of the Company's Legal Log of active litigation and reportable disputes and support marketing, project proposal and corporate resources in related disclosures
  • Assist the CRLO and GC in the overseeing and reporting on project and contract risk review processes and development of related forms and procedures
  • Help oversee and manage the Company's standard contract forms and procedures and Contract Library
  • Assist with review and advice on the Company's real estate leases and maintain central log
  • Assist with review and advice on the Company's Collective Bargaining Agreements and maintain central log
  • Review and advise on the Company's non-disclosure and confidentiality agreements and maintain central log
  • Assist the CRLO and GC and work along with senior operations management to oversee and support identified major project risk and conduct regular risk reviews and assessments
  • In coordination with the SCRCM, support the Company's operationally focused insurance and surety programs and related claims, and assist with the company's CCIP and SDI programs along with the Corporate CFO and Controller, including coordination of subcontractor prequalification systems and requirements
  • Assist the CRLO and GC to oversee the Company's legal affairs and assist in the management of outside counsel and expert consultants on an as-needed basis in coordination with the CRLO and GC
  • Collaborate with internal departments, including finance, operations, and human resources, to provide legal support and ensure alignment with business objectives
  • Stay current on legal developments and industry trends that may impact the Company
  • Provide regular training and mentoring of operations teams on risk and contract review, standard forms and procedures, industry developments and legal and risk management topics
  • Advise on project-based claims and disputes and related dispute resolution processes and procedures
  • Actively participate in construction industry related groups, interests and committees



Qualifications:



  • BS or BA and JD with active bar admittance - MA or NY bar preferred
  • Minimum 3 years experience in house construction counsel or construction law firm
  • Strong knowledge of construction law, contract law, and corporate governance
  • Excellent negotiation, drafting and communication skills
  • Ability to manage multiple projects and prioritize tasks effectively
  • Strong analytical and problem-solving skills
  • Strong collaborator comfortable working in a team environment
  • High ethical standards and professional integrity
