The Corporate legal team sits at the center of FOX's Television, Sports, Gaming, Entertainment, Technology, and Streaming businesses, and the world-class facilities and infrastructure crucial to their success, providing operational and deal support to our divisions as we transform FOX with game changing deals and strategic transaction, cutting edge technology, and operational excellence.

The Director, Business and Legal Affairs is a resource for executives and internal attorneys providing support and expertise to all of FOX's divisions. The Director, Business and Legal Affairs is integrally involved in the legal aspects of Fox's acquisitions, investments, and other strategic transactions. S/he also plays a vital role in the legal aspects of the FOX Studio Lot operations (including sound stage, production/post-production, commissary, and office facilities operations and the operational infrastructure of the FOX Studio Lot), as well as for FOX's domestic and international real estate portfolio, global security operations, environmental health and safety operations, and crucial global sourcing initiatives. . The person in this position provides advice and counsel, and drafts, negotiates, and analyzes a wide variety of agreements supporting the foregoing.

A SNAPSHOT OF YOUR RESPONSIBILITIES

  • Transaction support for acquisitions, joint ventures, and equity investments
  • Lead and manage facilities operations transactions from inception to completion
  • Analyze, negotiate, and draft a wide range of legal documents, including term sheets, diligence requests, and non-disclosure, vendor, consulting, contractor, event production, location, and construction-related agreements
  • Conduct research and respond to questions, related to corporate structures and entities

WHAT YOU WILL NEED

  • Juris Doctor degree
  • 3-8 years of transactional legal experience
  • Strong understanding of mergers and acquisitions, joint ventures, investments, and related agreements
  • Familiarity with a variety of vendor, service, and operational support arrangements, such as production and office facilities operations, leasing, licensing, and global sourcing transactions
  • Significant experience with drafting and negotiating a variety of agreements related to business operations, and strategic transactions and complex project management
  • Working knowledge of intellectual property, privacy and data security laws, SaaS contracts, and related developments, issues, and concerns
  • Ability to simultaneously manage multiple projects, often for a wide array of unrelated stakeholders, with shifting priorities and deadlines
  • Excellent reasoning, verbal, and written communication skills
  • Adept at effectively working with individuals from a variety of fields, backgrounds, and levels, and collaborating with multiple subject matter experts
  • Advanced proficiency using Word

NICE TO HAVE BUT NOT A DEALBREAKER

  • Active member of California bar; will consider those eligible for Registered In-House Counsel status (Rule 9.46)
  • Experience with DeltaView and iManage
  • Real estate experience

Pursuant to state and local pay disclosure requirements, the pay rate/range for this role, with final offer amount dependent on education, skills, experience, and location is $140,000.00-175,000.00 annually for high cost labour markets such as but not limited to New York City and Los Angeles, $116,600.00-145,800.00 annually for all other US locations. This role is also eligible for an annual discretionary bonus, various benefits, including medical/dental/vision, insurance, a 401(k) plan, paid time off, and other benefits in accordance with applicable plan documents. Benefits for Union represented employees will be in accordance with the applicable collective bargaining agreement.
