Overview

Employer: Republic Business Credit, a subsidiary of Renasant Bank

This position serves Republic Business Credit which is a subsidiary of Renasant Bank. The Legal Analyst will support legal, compliance and underwriting activities to ensure legal documentation is prepared and executed consistent with the Credit Policy, Governance Policy, and other company policies ("Company Guidelines"), approved underwritten terms ("Client Credit Approval", "CCA"), and approved credit amendments.

This position will primarily support the Legal, Underwriting, Client Acquisition, and Client Services teams across its suite of products, including factoring, traditional factoring, and asset-based lending.

This individual will be expected to proactively learn, engage and develop meaningful awareness of the nationwide rules and regulations in the commercial finance industry.

The Legal Analyst will represent Republic both internally and to the external marketplace with professionalism and excellent communication skills. This position is expected to:

    Work closely with the Legal, Underwriting, Client Services, and Client Acquisition teams to ensure client onboarding and client management follow Company Guidelines
  • Work closely with the Legal Manager, Underwriting, and Client Services teams to review and assess existing clients for compliance with policies and procedures
  • Ensure legal compliance for new clients being introduced and existing clients
  • Ensure applicable rules and regulations are adhered to for new and existing clients
  • Be current with Republic Business Credit's operating procedures as set out in the Credit Policy, How to Guide, and other business resources
  • Perform other related duties as assigned

Responsibilities

  • Assist Client Acquisition with the preparation and management of Non-Disclosure Agreements ("NDA") and Referral Agreements
  • Order and review due diligence searches including, but not limited to, entity status, personal credit reports, business credit reports, tax and other lien searches, pending litigation, and UCCs
  • Prepare and record necessary UCC filings for new and existing clients
  • Review due diligence and provides Underwriter with analysis of potential legal issues and delinquent required documentation
  • Draft necessary legal documents for client onboarding and client management to include, but not limited to, closing documents, third party agreements, client amendments, notices, terminations and change forms
  • Efficiently and accurately utilize DocuSign or equivalent to obtain e-signatures on all required legal documentation
  • Manage the library of legal documents, ancillary forms, client related documents, and templates to ensure proper filing and naming conventions are followed
  • Liaison with Accounting, Underwriting, and Legal Manager in appropriate SOX and BSA compliance
  • Assist Management and Accounting in vendor reviews and related contracts, including lease renewals
  • Interact with third party vendors and legal representatives, including reviewing contracts and verifying invoices for services
  • Perform routine internal audits of required processes including, but not limited to, underwriting and legal checklists, disclosure requirements, monthly reporting compliance, state regulations, and privacy notifications
  • Complete legal research projects and summaries on a variety of topics as assigned


Qualifications

  • Bachelor's degree required; Paralegal Certificate preferred
  • Minimum of 5 years of experience in legal and/or commercial finance law
  • Strong problem-solving skills
  • Ability to critically think and evaluate solutions to complex problems
  • Strong communication skills
  • Ability to seek and gather information from a variety of sources
  • Accurate and thorough in all work duties
  • Ability to work independently while collaborating in a team environment
  • Ability to meet deadlines and manage expectations
  • Ability to multi-task and prioritize workload as needed
  • Competency in Microsoft Office (particularly Word and Excel) and Google (Google Mail, Google Docs/Sheets and Google Drive)
