Summary: Reports to the General Counsel. Provides legal services for Brown University Health (the *Corporation*) and its corporate affiliates through their directors trustees executive officers physicians professional staff and management. Brown Health in Providence Rhode Island is seeking a deputy general counsel whose work will be transactional finance and corporate focus. The successful candidate will have significant experience in health care transactions including acquisitions mergers joint ventures and divestitures and financings and corporate governance. This position will manage complex corporate transactions including acquisitions of and affiliations with hospitals and health systems physician practices and other providers in the healthcare continuum. In the context of such transactions the attorney will conduct and oversee due diligence draft and negotiate definitive agreements and navigate federal and state antitrust referral and patient privacy laws as well as address payor contracting and credentialing matters. The attorney will be expected to provide advice regarding the False Claims Act Civil Monetary Penalties and Medicare and Medicaid billing regulations as well as physician employment and compensation and other relevant legal matters. Significant experience in health care regulatory compliance and operational matters is required. Responsibilities: Consults with all levels of management reviews a broad scope of Corporate activities services and products (existing and proposed) for legal ramifications and makes recommendations when appropriate. Reviews negotiates drafts and/or approves contracts and other legal documents relating to Corporate operations prior to execution. Provides advice and consultation on the applicability and interpretation of laws and regulations. Interfaces on behalf of the Corporation with public regulatory and administrative agencies. Works with the General Counsel to assure corporate formality is respected through the appropriate documentation of corporate action including the creation maintenance and preservation of records evidencing such action. Assists in the development of the law department*s annual operating and capital budgets. Assists in supervising and monitoring the operations of the law department in general and the law department*s business administrator in particular. Upon requests handles all or certain aspect of the Corporation*s workforce information system as it pertains to the Law Department including requests for time off. Assists the General Counsel in introducing technology and innovation to the Law Department*s operations in order to create efficiencies. Reviews and evaluates outside legal services and expenses through the use of an electronic invoice and payment tracking system and makes recommendations for promoting cost-effective expenditures on legal matters ensuring services are performed in accordance with agreed-upon standards for same. Assists in the selection and retention of outside legal counsel when necessary based on costs and quality factors all of which may be as part of a request-for-proposal selection process. Provides legal services for certain types of routine or threatened litigation and administrative proceedings. Manages outside litigation counsel and litigation matters. Engages in negotiations with opposing counsel and settles as authorized litigation potential litigation or administrative proceedings by or against the Corporation. Drafts and/or reviews retainer agreements with outside law firms. Reviews and resolves ethical conflicts with outside law firms. Provides mentoring and legal advice to other members of the law department upon request providing guidance and counsel in resolving complex and/or sensitive problems. Coordinates when needed such as when the General Counsel is not readily available the delivery of legal services by the Law Department in general and by the other members of the Law Department in particular. May supervise less experienced attorneys including preparing performance plans professional development plans performance reviews and the like. On a temporary basis at the request of the President of the Corporation assumes the responsibilities of the General Counsel when the General Counsel is not readily available. The Vice President and Deputy General Counsel * Corporate and Transactions generally works on matters of greater complexity and interacts more with members of the boards board committees and the President of the Corporation than either an Assistant General Counsel or an Associate General Counsel. Assists in the analysis of proposed and pending legislation and the Corporation*s position with respect thereto. Participates in councils quality improvement teams and other such meetings and committees as needed. Participates in professional development and continuing education activities and maintains desired professional affiliations. Performs other projects and assignments as requested. This position requires on-site presence for visibility and accountability purposes several times a week. Over time with the consent of the General Counsel and depending upon conditions the duties of Vice President and Deputy General Counsel may be performed on a more remote basis.

Other information: QUALIFICATIONS * EDUCATION: Juris Doctorate degree and admission to a state bar.
QUALIFICATIONS * EXPERIENCE: Minimum ten years of experience practicing health care transactional law either in a law firm with attorneys exclusively practicing health law or in a corporate legal department within a health care provider organization or health care insurer. Significant work experience in the management or delivery of health care services may be substituted for a maximum of one year of full-time health care law practice. Significant work experience in the practice of law in other settings may be substituted for a maximum of one year of full-time health care law practice.
