Vice President, Senior Counsel -- Capital Markets and M&A
Comerica Bank has an open Senior Counsel position for an experienced and highly motivated attorney supporting lines of business and departments throughout the organization on matters involving corporate law, including capital markets and M&A. The attorney will work at the Bank's headquarters in Dallas, Texas.
Position Competencies
This Counsel position requires the highest level of legal analysis, integrity, trust, and judgment. Position Responsibilities:
- Provides counsel in connection with capital management, share repurchases, debt and equity issuances, and other finance-related matters.
- Supports the Capital Markets group, conducting legal work related to various capital markets activities.
- Analyze complex legal issues and implications in cases, transactions, and other legal matters of significance to the bank. Prepares legal opinion letters in complex matters. Independently researches applicable law.
- Advises senior bank officers of the legal implications of proposed policy, course of action or management decision and assists in reviewing legal issues. Assists in reviewing legal issues in the incumbent area of expertise. Litigates or analyzes complex cases of significant impact in state or federal court on behalf of the bank.
- Negotiates lending transactions, settlements and workouts, and other legal matters on the bank's behalf in cases of significant impact to the bank. Prepares pleadings, fillings, briefs, transactional documentation, policy, and procedure guides in complex matters.
- Attorney must be licensed to practice law and a member in good standing in Texas or be admitted to practice and a member in good standing of another U.S. bar association and eligible for admission to the State Bar of Texas without examination.
Position Qualifications:
- JD from an ABA accredited law school
- Active member in good standing with the state Bar and licensed to practice law in CA, TX or MI or, if another state, able to qualify for admission and licensure in the required state within 180 days.
- 3 years Practicing Attorney
Work Best Category: Category C - Days in the office will either be designated days or will vary week to week from 2-5 days
Hours: 8:00am - 5:00pm Monday - Friday
