      Who You Are

      As Corporate Governance & Entity Management Specialist, you will be responsible for administering and maintaining the Company's corporate governance and legal entity management program across multiple jurisdictions. This role oversees the full lifecycle management of the Company's legal entity portfolio, ensuring compliance with state requirements, maintaining accurate governance records, and supporting the Company's operational and growth initiatives.

      This position plays a critical role in establishing and maintaining efficient governance processes, ensuring regulatory compliance, and maintaining audit-ready entity records. The incumbent collaborates closely with Legal, Finance, Risk Management, HR, Operations, and executive leadership to support corporate governance, licensing, and strategic business initiatives, including mergers and acquisitions.

      Some examples of the work you might do includes:

      Corporate Governance & Entity Management



      • Administers and maintains the Company's multi-state legal entity portfolio, ensuring accurate, complete, and current corporate records.
      • Maintains corporate minute books, governance records, and organizational documentation in an audit-ready condition.
      • Prepares and coordinates corporate governance documents, including resolutions, secretary's certificates, and subsidiary governance documentation.
      • Works with Legal and executive leadership to maintain and update officer, member, and manager appointments and entity organizational structures.
      • Obtains and distributes certified copies, certificates of good standing, and other official state documentation as needed.


      Regulatory Compliance & State Filings



      • Monitors and maintains all required state registrations, annual reports, foreign qualifications, and good standing status for the Company's entities.
      • Prepares and files new entity formations, certificates of authority, organizational documents, and withdrawal filings across jurisdictions.
      • Maintains, renews, and obtains state engineering Certificates of Authority and related regulatory filings.
      • Partners with Compliance and Legal teams to support licensing oversight and renewal tracking for business units operating across multiple states.


      Registered Agent & Service of Process Management



      • Serves as the primary liaison with the Company's registered agent and manages all associated tools, notifications, and state correspondence.
      • Leads the intake, triage, tracking, and escalation of Service of Process matters to appropriate internal stakeholders.
      • Ensures timely handling and documentation of legal notices and regulatory communications.


      Governance Operations & Process Improvement



      • Develops, maintains, and optimizes governance workflows, internal procedures, and documentation standards.
      • Monitors governance deadlines and entity compliance obligations to reduce operational risk.
      • Develops dashboards and key performance indicators related to entity health, filing deadlines, and governance compliance.
      • Identifies opportunities to improve governance processes, strengthen data integrity, and increase operational efficiency.


      Cross-Functional Collaboration & Business Support



      • Collaborates with Legal, Finance, Risk Management, HR, Operations, and executive leadership to support corporate initiatives and operational needs.
      • Assists business units in evaluating entity requirements related to expansion into new states or markets.
      • Supports mergers and acquisitions activities, including due diligence support, entity documentation review, data room management, Know-Your-Customer (KYC) requests, and post-close integration.


      What You Need...



      • 5+ years of corporate governance, entity management, or corporate paralegal experience (in-house preferred).
      • Bachelor's degree required; Paralegal certification preferred.
      • Demonstrated experience with Secretary of State online filing and multi-state registration management.
      • Working knowledge of legal entity management systems (e.g., CSC, Diligent, Athennian, or similar platforms).
      • Strong drafting skills for governance documentation including resolutions and certificates.
      • Exceptional organizational skills and attention to detail.
      • Proven ability to manage shifting priorities in a fast-paced, multi-jurisdictional environment.
      • Excellent written and verbal communication skills with the ability to effectively communicate with attorneys, executives (including CEO and CFO), finance teams, government representatives, contractor partners, and internal staff.
      • Strong project management and process improvement mindset.
      • Licensed notary (including electronic) or willing to sit for the notary course and exam upon hire.
      • Must have a valid driver's license.
      • Must have a driving record compliant with the Company's policies and MVR requirements, and consent to ongoing driving record monitoring by the Company.
      • Ability to travel up to 10% of the time.

      Work Environment:



      • This position operates primarily in a professional office environment, and routinely utilizes standard office equipment, such as computers, phones, copiers, filing cabinets, printers, and scanners.
      • The Company's "Remote Work" policy is applicable to this position.


      Physical Demands:



      • In performing the duties of this job, the incumbent is regularly required to sit, stand, walk, talk, hear, perform repetitive motion, and possess an appropriate degree of both visual acuity and manual dexterity.
      • S/he may occasionally be required to climb, stoop, crouch, crawl, reach, and/or perform repetitive motion.
      • This is considered a sedentary position, which means possible exertion up to ten (10) pounds of force occasionally, and/or negligible amount of force frequently or constantly to lift, carry, push, pull, or otherwise move objects.
