THE ROLE:

We are seeking a Senior Corporate Counsel to join AMD's in-house real estate legal team and support complex real estate and strategic transactions. This role will work alongside real estate and facilities, corporate strategy, engineering, finance, and treasury teams to balance risk and ensure these time-sensitive real estate projects meet technical and commercial requirements.

THE PERSON:

This position is designed for a lawyer with hands-on experience supporting large, complex real estate transactions.The ideal candidate will demonstrate expertise in negotiating leases, guarantees, and structured finance arrangements, and will confidently take ownership of sophisticated projects in a fast-paced, in-house environment.

KEY RESPONSIBILITIES:

Provide legal support for a broad range of real estate transactions andassistin managing landlord-tenant relationships.

Draft, review, and negotiate real estate related agreements and ancillary documents, including leases, subleases, assignments, SNDAs, estoppels, and guaranties.

Evaluate and negotiate significant agreements for a variety of data centerrelatedprojects and facilities.

Support joint ventures, strategic partnerships, andco-investmentstructures.

Review and negotiatethird-partycredit support arrangements, including guarantees,and otherrisk allocationmechanisms.

Participatein AMD'sstrategic transactionspipeline, supporting rapid vetting, diligence, and execution across multiple active deals.

Work closely withreal estateand facilities, corporate strategy, engineering, finance, treasury, andITteams to align transaction structures with AMD's technical and commercial needs.

Review and assess due diligence related to acquisitions or strategic initiatives and advise business leaders on risks and mitigations.

Coordinate with outside counsel to manage costs, timelines, and quality of work.

Develop scalable templates and playbooks for recurring transactions.

PREFERRED EXPERIENCE:

• Legal experience, includingsignificant experiencewith complex commercial real estate or infrastructure transactions.
• Practical understanding of commercial real estate concepts, including leasing, development, construction, lending, and title matters.
• Demonstrated experiencedrafting andnegotiating data center leasesandrelatedagreements.
• Experience advising developers, operators, investors,andsophisticated enterprise tenants.
• Experience structuring or negotiating guaranteesandothercredit supportmechanisms.
• Comfortbalancing legal risk with business priorities in a practical, solutions-oriented manner.
• Clear, concise communicator capable of advising legal and non-legal stakeholders.
• Ability to independently manage complex, high value, multiparty transactions.

ACADEMIC CREDENTIALS:

• Juris Doctor (JD) and active bar membership
